Part A — Staff and authorized users of Truck Ranch OS
A1.Who may use the platform
Only people Truck Ranch authorizes.
Truck Ranch OS is for Truck Ranch employees and the contractors Truck Ranch specifically authorizes. There is no public sign-up. If you have not been authorized, you may not use the platform, even if you can reach a sign-in page.
Truck Ranch may add, change or remove your access, your role and the stores you can see at any time, with or without notice.
A2.Accounts
Your account is yours alone and is tied to your Truck Ranch Google Workspace identity.
- You sign in with your Truck Ranch Google Workspace account. The platform never stores a password.
- Keep two-step verification turned on. Do not share your account, your device while signed in, or any sign-in code.
- Everything done under your account is treated as done by you.
- Tell your manager or build@truckranch.com right away if you think your account has been used by someone else.
A3.Acceptable use
Use the platform for your work at Truck Ranch and nothing else.
You agree not to:
- Use the platform for anything other than your work for Truck Ranch.
- Copy, export, scrape or bulk-download data from the platform, or run automated tools against it, except through features built for that purpose.
- Share customer, vehicle, deal, pricing or vendor data outside of a work purpose, or with anyone who is not authorized to see it.
- Try to see data your role does not allow, or attempt to bypass permissions, audit logging or any other security control.
- Enter information you know to be false, or sign for something you did not do.
- Interfere with the platform's operation or with other users' work.
A4.Ownership
Truck Ranch owns the data and the platform.
Truck Ranch owns all data in the platform, including data read from Tekion and vAuto and data entered by staff and vendors. Truck Ranch owns the platform itself and its design. Grid Theory built it under contract for Truck Ranch.
Using the platform gives you no rights in the data or the software beyond the access Truck Ranch has granted you for your work.
A5.Monitoring and audit logging
Everything you change is logged, and Truck Ranch reviews those logs.
The platform writes every change to an audit log that records what changed, who changed it and when. Views of full customer records are logged as well. Truck Ranch reviews these logs for security, compliance and operational reasons, and may share them with its legal or accounting advisers, auditors, or law enforcement when the law requires. By using the platform you acknowledge this logging and monitoring.
A6.Suspension
Truck Ranch may suspend or end your access at any time.
Truck Ranch may suspend or end your access at any time, for any reason, with or without notice. Access ends automatically when your employment or engagement with Truck Ranch ends. Sections A4, A5, A7 and A8 continue to apply after your access ends.
A7.No warranty of uninterrupted service
The platform may be down or wrong sometimes. Tekion remains the system of record.
The platform is provided as is. Truck Ranch does not promise that it will be available at all times, free of errors, or that the data it shows is complete or current. Data read from Tekion and vAuto reflects those systems at the time of the last sync; Tekion remains the system of record for every deal, repair order and customer. If the platform and Tekion disagree, Tekion is right until someone fixes the difference.
A8.Governing law
Utah law applies.
These terms are governed by the laws of the State of Utah, without regard to its conflict-of-laws rules. Any dispute about Part A that cannot be resolved through Truck Ranch's normal workplace channels will be heard in the state or federal courts located in Salt Lake County, Utah.
Part B — Vendor Portal terms
Part B applies to outside businesses that use the Vendor Portal at partners.truckranchops.com ("you", the "vendor"). It is an agreement between the vendor and Truck Ranch. Signing in to the portal, submitting a bid or signing a record in it means you accept these terms on behalf of your business.
B1.Eligibility
Only vendors Truck Ranch invited.
The Vendor Portal is for businesses Truck Ranch has invited to receive requests for quotes, bid on work, schedule jobs, submit invoices and sign proof-of-delivery records. You may use the portal only if Truck Ranch invited your business and you are authorized to act for it.
Each person at your business who uses the portal must have their own sign-in. You are responsible for everything done through your business's sign-ins, including by people who have since left your business, until you ask us to remove them.
B2.Account and magic-link security
Your sign-in link is a key. Treat it like one.
You sign in with a magic link sent to your email address. Anyone with that link can act as you until it expires.
- Do not forward sign-in links or let others use your email account to reach the portal.
- Keep the email address on your account current, and tell us right away if it changes or is compromised.
- Tell us right away at build@truckranch.com if you think someone else has used your account.
B3.Quotes and bids
A bid is an offer. Truck Ranch may accept or decline it. An accepted bid is the price for that job.
A quote or bid you submit through the portal is an offer to do the described work for the stated price. Truck Ranch may accept or decline it, in whole or in part, and is not obliged to award work to the lowest bid or to award it at all.
When Truck Ranch accepts a bid in the portal, that bid becomes the agreed price for that job. The price and scope can be changed only by a written change agreed in the portal before the work is done. Work performed beyond the accepted scope without a recorded change is at the vendor's own risk and may not be paid.
B4.Schedule commitments and no-shows
A scheduled time is a commitment. Missed times have consequences.
When you accept a scheduled time in the portal, you are committing to be there and to do the work. If you cannot make a scheduled time, update the schedule in the portal or message the shop as early as you can.
Truck Ranch's rules on cancellations, late arrivals and no-shows are set by Truck Ranch's Director of Operations and provided to vendors in writing when they are invited to the portal and whenever the rules change. Those rules form part of these terms.
B5.Invoices
Invoice through the portal, for the awarded amount.
Submit every invoice through the portal, attached to the job it covers. The invoice must match the accepted quote plus any change recorded in the portal. Invoices that do not match will be returned for correction. Invoices sent outside the portal may not be processed.
Payment terms are set by Truck Ranch's Director of Operations and provided to vendors in writing. A different term may be agreed in writing for a particular job.
B6.Electronic signatures and proof of delivery
Signing in the portal is the same as signing on paper, and you agree to do business electronically.
Proof-of-delivery records, change agreements and other documents you sign in the portal are signed electronically. An electronic signature made through the portal binds your business in the same way a handwritten signature would, and the portal's record of the signature, the time and the device used is evidence of it.
Consent to electronic records. By using the portal you agree to receive and sign records electronically. You will need a device with a current web browser and an email address you can access. You may ask for a paper copy of any record you signed. You may withdraw this consent by telling us in writing at build@truckranch.com; withdrawing it means you can no longer use the portal, because the portal works only electronically.
B7.SMS consent
Texts are optional. You choose to receive them, and STOP ends them.
If you enter a mobile number and opt in to SMS in the portal, Truck Ranch will text you work requests, schedule changes, delivery confirmations and sign-in codes. Message frequency varies with the work assigned to you. Message and data rates may apply. Reply STOP to cancel at any time and HELP for help. Opting out of texts does not affect your portal account; notifications continue by email. Our handling of mobile numbers is described in the Privacy Policy.
B8.Confidentiality
What you see in the portal stays in the portal.
In the portal you will see information about Truck Ranch's vehicles, customers, pricing and operations. That information is confidential. Use it only to do the work Truck Ranch awards you. Do not share it with anyone outside your business who does not need it for that work, do not use it to solicit Truck Ranch's customers, and do not disclose Truck Ranch's prices or volumes to others. This obligation continues after your access ends.
Customer information must be handled in line with applicable privacy law and deleted when the job is complete, unless the law requires you to keep it.
B9.Insurance and compliance documents
Carry the insurance your trade requires and keep the documents Truck Ranch asks for current.
Truck Ranch carries its own insurance. Vendors must carry the insurance appropriate to their trade and to the work they do for Truck Ranch, and must upload current certificates and any other compliance documents Truck Ranch asks for to the portal when requested.
Work may not be awarded, scheduled or paid while a requested document is missing or expired. You are responsible for the accuracy of what you upload.
B10.Suspension
Truck Ranch may suspend or end your portal access.
Truck Ranch may suspend or end your portal access at any time, including for missed commitments, invoice problems, lapsed insurance, misuse of information or any breach of these terms. Suspension does not cancel work already awarded or payment for work already done in line with these terms. Sections B6, B8, B11 and B12 continue to apply after your access ends.
B11.Limitation of liability
The portal is a tool. Neither side is liable to the other for indirect losses from using it.
The portal is provided as is. Truck Ranch does not promise it will be available at all times or free of errors.
To the fullest extent the law allows, neither Truck Ranch nor the vendor is liable to the other for indirect, incidental, consequential or punitive damages, or for lost profits, arising from use of the portal. This limit does not apply to a party's confidentiality obligations, to amounts owed for work performed, to damage to vehicles in a vendor's care, or to liability that cannot be limited by law. Nothing in these terms limits any insurance obligation or any separate written agreement between Truck Ranch and the vendor about a job.
B12.Governing law and venue
Utah law, Salt Lake County courts.
These terms are governed by the laws of the State of Utah, without regard to its conflict-of-laws rules. Any dispute arising from Part B or from use of the portal will be brought in the state or federal courts located in Salt Lake County, Utah, and each party consents to that venue.
B13.Changes to these terms
We will tell you before terms change. Using the portal after that is acceptance.
Truck Ranch may change these terms. We will post the new version here with a new effective date and notify portal users by email at least 14 days before a material change takes effect. If you keep using the portal after the change takes effect, you accept the new terms. If you do not accept them, stop using the portal and tell us; work already awarded will be completed under the terms in force when it was awarded.
